Definitions
“Company” means The Website Shop Ltd.
“Client” means the individual or organisation purchasing services from the Company.
“Services” means software development, web application development, websites, integrations, APIs, hosting, maintenance, support and related professional services.
Scope of Work
The Company will provide the Services described in the accepted quotation, proposal or statement of work. Any work outside the agreed scope is chargeable and will not commence until approved by the Client.
Subcontractors
The Company may engage suitably qualified employees, contractors or subcontractors to deliver all or part of the Services and may reassign work where necessary.
Quotations & Estimates
Quotations are valid for 30 days unless otherwise stated. Estimates and delivery dates are indicative only and may change due to client delays, changes in scope, technical issues or circumstances beyond the Company’s control.
Payment Terms
Invoices are payable in accordance with the payment terms shown on the invoice.
The Company may suspend work immediately where an invoice becomes overdue.
Where an invoice remains unpaid for more than 30 days, the project may be removed from the active development schedule.
Work will not resume until all outstanding invoices relating to the project have been paid in full.
Projects resumed after suspension will be scheduled according to current availability. Previous delivery dates cannot be guaranteed.
The Company reserves the right to charge statutory interest and recover reasonable debt recovery costs where permitted by law.
Client Responsibilities
The Client is responsible for providing all required content, access credentials, approvals, licences, feedback and technical information in a timely manner. Delays caused by the Client may affect delivery dates and do not suspend payment obligations.
Client Content
The Client warrants that all content, trademarks, logos, images, videos and other materials supplied are owned by the Client or appropriately licensed. The Company accepts no liability for claims arising from client-supplied materials.
Project Delays & Abandoned Projects
Projects with no meaningful client communication, approvals or required information for 30 consecutive days may be placed on hold. Projects inactive for more than 90 days may be closed and any future work may require a new quotation.
Change Requests
Changes outside the agreed specification constitute additional work and may affect pricing and delivery dates.
Testing & Acceptance
The Client is responsible for testing deliverables before live deployment. Live use of the software constitutes acceptance unless otherwise agreed in writing.
Support & Maintenance
Unless covered by a separate maintenance agreement, project completion does not include ongoing support, updates, security patches, compatibility updates or future development.
Third-Party Services
The Company is not responsible for failures, outages, pricing changes, discontinued services, API changes, plugin issues or incompatibilities relating to third-party providers including hosting providers, payment gateways, cloud services, browsers or software vendors. Any work required because of third-party changes is chargeable.
Hosting
Where hosting is provided by the Company, uninterrupted availability cannot be guaranteed. The Company is not liable for downtime caused by infrastructure failures, maintenance, cyber attacks, internet outages or other events beyond its reasonable control.
Security
No website, application or online system can be guaranteed to be completely secure. The Client is responsible for managing user accounts, passwords and operational security.
Backups
Unless expressly included within a maintenance or hosting agreement, the Client is responsible for maintaining backups of all data and content.
Browser Compatibility
Compatibility is provided for current major desktop and mobile browsers unless otherwise agreed. Continued compatibility with obsolete browsers or future browser releases is not guaranteed.
Open Source & Licensed Software
Projects may include open-source or commercially licensed software which remains subject to its own licence terms.
Data Protection
Each party is responsible for complying with applicable data protection legislation. Unless otherwise agreed, the Client acts as the data controller for personal data processed through the completed system.
Intellectual Property
All source code, designs, documentation, databases and project materials remain the property of The Website Shop Ltd until all invoices relating to the project have been paid in full. Upon full payment, ownership of bespoke development transfers to the Client unless otherwise agreed. The Company retains ownership of its pre-existing code, libraries, frameworks, tools and methodologies.
Suspension
The Company may suspend development, hosting or support where invoices remain unpaid, these Terms are breached, abusive behaviour occurs or continuing work presents legal, financial or operational risk.
Cancellation
Either party may terminate the project by written notice. The Client remains liable for all completed work, work in progress, committed development time and third-party costs incurred before termination. Deposits and completed work are non-refundable unless agreed otherwise in writing.
Limitation of Liability
Software cannot be guaranteed to operate without interruption or error. The Company shall not be liable for any indirect, consequential or economic loss including loss of revenue, profits, business, customers, contracts, bookings, appointments, anticipated savings, data, reputation, transactions or sales arising from the use of, inability to use or failure of any software, website or system.
The Client is responsible for maintaining appropriate insurance, backups and business continuity arrangements.
The Company’s total aggregate liability shall not exceed the fees paid by the Client for the specific development work giving rise to the claim.
Force Majeure
The Company shall not be liable for delays or failures caused by events beyond its reasonable control including natural disasters, internet outages, cyber attacks, labour disputes, governmental action or third-party failures.
Confidentiality
Each party agrees to keep confidential any proprietary or commercially sensitive information obtained during the project unless disclosure is required by law.
Entire Agreement
These Terms, together with any accepted quotation, proposal or statement of work, constitute the entire agreement between the parties and supersede all previous discussions or representations.
Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver
Failure by the Company to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.
Governing Law
These Terms are governed by the laws of Ireland and any dispute shall be subject to the exclusive jurisdiction of the Irish courts.
